1. Definitions and Interpretation
In these Seller Terms and Conditions, unless the context otherwise requires:
“Platform” means the xHerbs Marketplace operated at xherbs.store, including the website, mobile application, and all associated services, tools, and APIs.
“xHerbs” or “We” means xHerbs Store, a company incorporated under the laws of the Federal Republic of Nigeria, with its principal office in Abuja, FCT.
“Seller” or “You” means any individual or business entity that has been approved to list and sell products or services on the Platform, including Product Sellers, Healers, and Hybrid Sellers.
“Buyer” means any individual who purchases products or engages services through the Platform.
“Product Seller” means a Seller who lists physical or digital goods for sale on the Platform.
“Healer” means a Seller who offers consultation, wellness, or traditional healing services on the Platform.
“Hybrid Seller” means a Seller who both lists products for sale and offers services on the Platform.
“Products” means the herbal, wellness, and related goods listed for sale on the Platform by a Product Seller or Hybrid Seller.
“Services” means the consultation, wellness, and healing services listed on the Platform by a Healer or Hybrid Seller.
“Commission” means the percentage of each completed sale or service payment that xHerbs retains as a fee for providing marketplace services, as set out in Section 7.
“Chatbot Order” means any order or service payment originated or completed through the xHerbs chatbot on any supported channel, including the website chat widget, WhatsApp, and Instagram. All other orders are referred to as Marketplace Orders.
“Marketplace Order” means any order or service payment placed through the Platform’s website or app checkout that is not originated through the chatbot.
“Payout” means the transfer of funds owed to the Seller after deduction of applicable Commission, refunds, and other charges.
“Account Health” means the performance metrics and compliance scores assigned to each Seller account, as described in Section 13.
“KYC” means Know Your Customer identity verification procedures required before a Seller’s storefront becomes active.
“NAFDAC” means the National Agency for Food and Drug Administration and Control of Nigeria.
“Ssync” means Ssync Technologies, an independent third-party identity verification provider. Ssync handles all identity verification and KYC processes directly — xHerbs does not collect, store, or process any identity documents or biometric data. xHerbs only receives a verification status (verified or not verified) from Ssync.
“Boldswitch” means the third-party payment processing provider used for transactions and payouts.
2. Eligibility
- You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher, to register as a Seller.
- If you are registering on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
- You must be a resident of Nigeria or have a registered business entity incorporated in Nigeria with a valid bank account domiciled in a Nigerian financial institution.
- You must provide accurate and complete registration information, including your legal name, business name (if applicable), valid phone number, email address, and business address.
- xHerbs reserves the right to refuse any application at its sole discretion, without obligation to provide reasons.
3. Application and Verification
- All prospective Sellers must submit a completed application through the Platform. Product Sellers and Hybrid Sellers provide business information, product photographs, sourcing descriptions, and contact details. Healers provide their specialties, healing paths, years of experience, consultation type (virtual, in-person, or both), and session rate.
- xHerbs will review applications within a target of twelve (12) hours, though this timeline is not guaranteed and may vary.
- Upon conditional approval, Sellers must complete KYC verification through Ssync, a third-party identity verification provider. Ssync handles the entire verification process independently — xHerbs does not collect, process, or store any identity verification data. Ssync may require NIN verification, facial recognition, or other KYC procedures at their discretion.
- Sellers must also provide valid bank account details, which will be verified through Boldswitch’s account resolution API. Bank account numbers and account names are encrypted using AES-256-GCM before storage.
- A Seller’s storefront will not be made publicly visible until KYC verification is completed and: (a) for Product Sellers and Hybrid Sellers, at least one (1) product has been listed; (b) for Healers and Hybrid Sellers, at least one (1) active service has been listed; and (c) for Product Sellers and Hybrid Sellers with physical products, delivery zones have been configured and at least one product is in stock.
- xHerbs may, at any time, request additional documentation to verify a Seller’s identity, business registration, product sourcing, or regulatory compliance.
4. Permitted and Prohibited Products and Services
4.1 Permitted Products. The following categories of products are permitted on the Platform, subject to compliance with all applicable Nigerian laws and regulations:
- Dried herbs and leaves (e.g., soursop, moringa, neem)
- Seeds and nuts
- Spices and seasonings
- Cold-pressed oils and natural butters
- Herbal teas and infusions
- Natural soaps and body care products
- Wellness and therapy kits
- Traditional Chinese Medicine (TCM) and Eastern remedies
- Herbal supplements in capsule, powder, or liquid form
- Mushrooms and superfoods
- Digital guides related to herbal wellness
4.2 Permitted Services. Healers may list the following types of services:
- Herbal wellness consultations (virtual, in-person, or both)
- Traditional healing sessions
- Nutritional and dietary counselling related to herbal wellness
- Guided wellness programmes and packages
4.3 Prohibited Products and Services. The following are strictly prohibited and may not be listed under any circumstances:
- Pharmaceutical drugs or products requiring a prescription
- Products containing controlled substances as defined under Nigerian law
- Products or services making unverified medical or therapeutic claims, including claims to cure, treat, or prevent any disease, unless such claims have been evaluated and approved by NAFDAC
- Tobacco, alcohol, or recreational drugs
- Products that have been recalled by any government or regulatory body
- Counterfeit, adulterated, or misbranded products
- Products containing ingredients prohibited by NAFDAC regulations
- Products not compliant with the Herbal Medicines and Related Products Registration Regulations 2019
- Medical diagnoses, prescriptions, or any service that requires a licence to practise medicine under Nigerian law
- Any product or service that is illegal to sell, distribute, or provide under Nigerian federal or state law
4.4 NAFDAC Compliance. Where a product is classified as a herbal medicine or dietary supplement under Nigerian law, the Seller warrants that such product is registered with NAFDAC or is exempt from registration under applicable regulations. The Seller shall be solely responsible for ensuring compliance with all NAFDAC labelling, advertising, and registration requirements, including the Herbal Medicine and Related Products Labelling Regulations 2019 and the Herbal Medicine and Related Products (Advertisement) Regulations 2019.
4.5 Product and Service Claims. Sellers shall not make any claim of effectiveness or therapeutic indication on product or service listings unless such claim has been clinically proven and approved by NAFDAC. Where any health-related claim is made, the listing must carry a prominent disclaimer: “This claim has not been evaluated by NAFDAC.” Healers must not represent themselves as licensed medical practitioners unless they hold the relevant professional licence.
5. Product Listings
- All product listings must include: at least one original photograph taken by the Seller, an accurate product title, a truthful and complete description, the correct category and sub-category, applicable use-case tags, the current price in Nigerian Naira (₦), available stock quantity, weight or size, and shelf life where applicable.
- Stock photographs, AI-generated images, or photographs taken from other sellers or websites are not permitted.
- Product descriptions must not contain misleading, false, or exaggerated claims. All ingredients and their origin must be disclosed.
- xHerbs reserves the right to review, edit, reject, or remove any listing that does not comply with these Terms or that xHerbs determines, in its sole discretion, to be inaccurate, misleading, or otherwise inappropriate.
- Listings for new Sellers will undergo manual review before being published. xHerbs may also conduct periodic reviews of existing listings.
- The Seller is solely responsible for maintaining accurate stock levels. Products with zero stock will be automatically hidden from buyers.
5A. Service Listings (Healers)
- All service listings must include: a clear and accurate title, a truthful description of what the service entails, the consultation type (virtual, in-person, or both), the price in Nigerian Naira (₦), and the estimated session duration in minutes.
- Healers must accurately represent their qualifications, experience, and areas of expertise. Misrepresentation of credentials is grounds for immediate account termination.
- xHerbs does not verify medical qualifications, endorse treatments, or guarantee the outcomes of any service. Healers are independent practitioners and are solely responsible for the services they provide.
- Booking and payment for services may be arranged through the Platform’s messaging system using payment requests. All payments are processed through Boldswitch.
- Healers must respond to buyer inquiries and booking requests in a timely manner. Response time is tracked as part of Account Health.
6. Pricing
- Sellers set their own prices for Products and Services. All prices must be listed in Nigerian Naira (₦) and must include all applicable taxes.
- xHerbs does not impose minimum or maximum pricing, but reserves the right to flag and review listings with pricing that appears significantly inconsistent with market norms.
- The Seller is responsible for determining and collecting any applicable Value Added Tax (VAT) or other taxes.
7. Commission and Fees
- Commission is applied differently depending on the channel through which an order or service payment is completed. xHerbs distinguishes between Chatbot Orders (orders originated or completed through the xHerbs chatbot on the website, WhatsApp, or Instagram) and Marketplace Orders(orders placed through the Platform’s website or app checkout).
- Chatbot Orders — Commission applies from launch. From the date these Terms take effect, every Chatbot Order is subject to commission, deducted from the amount before Payout to the Seller. The tiered rates apply from day one across all Sellers:
- New Sellers: Five percent (5%) of the sale or service price
- Verified Sellers: Three percent (3%) of the sale or service price
- Anchor Sellers: Two percent (2%) of the sale or service price
- Marketplace Orders — Launch period. For Marketplace Orders only, xHerbs charges zero percent (0%) commission during the launch period. The launch period ends six (6) months from the date these Terms take effect. The launch-period exemption does not apply to Chatbot Orders.
- Marketplace Orders — After the launch period. After the launch period, Marketplace Orders will be charged commission at the same tiered rates as Chatbot Orders (5% New, 3% Verified, 2% Anchor), deducted from the amount before Payout. The transition from zero commission to tiered commission on Marketplace Orders is a material change; Sellers will be notified and asked to opt in before Marketplace Order commissions take effect.
- A Seller achieves Verified status upon meeting all of the following criteria: a minimum of fifty (50) completed orders or service engagements (counted across Chatbot Orders and Marketplace Orders), a minimum average rating of 4.0 stars, completed KYC verification, and no outstanding policy violations.
- A Seller achieves Anchor status upon meeting all of the following criteria: a minimum of two hundred (200) completed orders or service engagements (counted across Chatbot Orders and Marketplace Orders) and a minimum average rating of 4.5 stars.
- xHerbs reserves the right to modify commission rates — whether for Chatbot Orders or Marketplace Orders — with thirty (30) days’ prior written notice to Sellers. Changes to commission rates are considered material changes and require explicit opt-in consent from each Seller before taking effect.
- There are no listing fees, setup fees, or monthly subscription fees for Sellers in the current version of the Platform. xHerbs reserves the right to introduce additional fees with thirty (30) days’ notice. Introduction of new fees is a material change and requires explicit Seller consent.
- Payment processing fees charged by Boldswitch are borne by xHerbs and are not deducted from the Seller’s Payout.
8. Payouts
- Payouts are processed on a weekly basis for all orders and service payments that have been confirmed as delivered or completed during the preceding period.
- Payouts are made via bank transfer to the Seller’s verified bank account using Boldswitch’s Transfer API.
- A Payout for a product order will only be processed after the order has been confirmed as delivered by the buyer or after the automatic delivery confirmation period of twenty-four (24) hours has elapsed without a dispute being raised.
- A Payout for a service payment will be processed after the payment is confirmed through Boldswitch.
- xHerbs may withhold or delay a Payout if: (a) a buyer has raised a dispute or return request; (b) xHerbs has reasonable grounds to suspect fraud; (c) the Seller’s account is under investigation; or (d) the Seller’s bank account details are invalid or unverifiable.
- It is the Seller’s sole responsibility to ensure that bank account details on file are accurate and current. xHerbs shall not be liable for delays or losses resulting from incorrect bank details provided by the Seller.
9. Order Fulfilment and Delivery (Product Sellers)
- Upon receiving an order notification, the Seller must confirm and begin processing the order promptly. Sellers are expected to fulfil orders within forty-eight (48) hours of confirmation.
- The Seller must ship or arrange delivery of the order within the timeframe specified in their delivery settings. Failure to do so will be recorded as a late shipment and will negatively affect Account Health.
- The Seller is solely responsible for packaging products securely and appropriately to prevent damage during transit.
- The Seller must provide a valid tracking number or proof of dispatch where available.
- xHerbs does not provide logistics or fulfilment services. The Seller is responsible for all aspects of delivery, including selecting delivery partners and paying delivery costs.
- Delivery fees charged to buyers are set by the Seller through their delivery zone settings and are passed through to the Seller in full (delivery fees are not subject to commission).
10. Returns, Refunds, and Disputes
- Buyers may request a return within twenty-four (24) hours of delivery confirmation for the following reasons: (a) the product received is materially different from the listing description; (b) the product is damaged, defective, or expired; (c) the wrong product was delivered; or (d) the incorrect quantity was received. Digital products are not eligible for returns.
- The Seller must respond to all return requests within twelve (12) hours. Failure to respond will be treated as acceptance of the return, and xHerbs will step in to review.
- If a return is approved, the Seller must provide return instructions. The refund will be processed to the buyer’s original payment method via Boldswitch.
- The refund amount, including any applicable delivery fees, will be deducted from the Seller’s next Payout. If the Payout balance is insufficient, xHerbs may recover the amount from future Payouts.
- For healer services, refund and dispute policies are handled on a case-by-case basis. Since services cannot be “returned” in the traditional sense, disputes focus on whether the service was delivered as described.
- xHerbs may, at its sole discretion, mediate disputes between buyers and sellers. xHerbs will review the evidence and issue a decision within seven (7) days. The decision of xHerbs in such mediation shall be final and binding on both parties.
- Sellers may not contact buyers outside the Platform to resolve disputes, offer refunds, or negotiate terms. All communication must take place through the Platform’s messaging system.
11. Seller Conduct
- Sellers shall conduct themselves professionally at all times and shall not engage in any activity that may damage the reputation of the Platform.
- Sellers shall not: (a) attempt to divert transactions away from the Platform; (b) share personal contact information (phone numbers, email addresses, social media handles) with buyers through the messaging system for the purpose of circumventing Platform fees; (c) engage in price manipulation, fake reviews, or any form of marketplace manipulation; (d) create multiple seller accounts without prior written approval; (e) use offensive, threatening, or abusive language in any communication.
- Sellers shall respond to buyer messages within twenty-four (24) hours. Response time is tracked as part of Account Health.
- Healers must honour confirmed bookings and provide adequate notice if rescheduling or cancelling a session. Repeated no-shows or cancellations will negatively affect Account Health.
12. Intellectual Property
- The Seller warrants that all product listings, service descriptions, photographs, and other content uploaded to the Platform are either original works of the Seller or that the Seller has obtained all necessary licences and permissions to use such content.
- The Seller grants xHerbs a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display listing content for the purposes of operating and promoting the Platform.
- xHerbs respects intellectual property rights. If xHerbs receives a valid notice of intellectual property infringement regarding a Seller’s listing, xHerbs will remove the listing and notify the Seller.
- Repeated intellectual property violations may result in permanent account termination.
13. Account Health
- xHerbs maintains an Account Health system that measures Seller performance across the following metrics: (a) Order Defect Rate (negative reviews, returns, and cancellations as a percentage of total orders); (b) Late Shipment Rate; (c) Cancellation Rate; (d) Average Customer Rating; (e) Message Response Time.
- Sellers are expected to maintain an Order Defect Rate below two percent (2%), a Late Shipment Rate below five percent (5%), and a Cancellation Rate below four percent (4%). Exceeding these thresholds will trigger a “needs attention” status. Significantly exceeding them (Order Defect Rate above 5%, Late Shipment Rate above 10%, or Cancellation Rate above 8%) will result in an “at risk” status.
- Account Health is visible in the Seller Dashboard and is updated in real time.
- Persistent failure to meet Account Health standards may result in reduced visibility in search results, temporary suspension, demotion from Verified to New tier, or permanent account termination.
14. Suspension and Termination
- xHerbs may suspend a Seller’s account immediately and without prior notice if: (a) the Seller violates any provision of these Terms; (b) xHerbs has reasonable grounds to suspect fraud, misrepresentation, or illegal activity; (c) the Seller’s Account Health metrics fall below minimum thresholds; (d) the Seller’s KYC verification is revoked or found to be invalid; or (e) xHerbs receives a valid legal order requiring suspension.
- A suspended Seller may appeal by contacting seller support within fourteen (14) days of suspension. xHerbs will review the appeal and communicate a decision within fourteen (14) days.
- Upon termination: (a) all active listings will be removed; (b) any pending orders must still be fulfilled; (c) any outstanding Payouts for delivered orders and completed services will be processed within thirty (30) days, subject to deduction of any amounts owed to xHerbs or to buyers; (d) the Seller’s storefront will be permanently deactivated.
- The Seller may voluntarily close their account at any time by submitting a request through the Platform. The Seller must fulfil all pending orders before closure.
15. Data Protection and Privacy
- Both xHerbs and the Seller are independent data controllers with respect to buyer personal information processed in the course of marketplace transactions, in accordance with the Nigeria Data Protection Regulation 2019 (NDPR) and the Nigeria Data Protection Act 2023 (NDPA).
- The Seller shall only use buyer personal information (name, address, phone number) for the sole purpose of fulfilling orders or providing agreed services. The Seller shall not use buyer data for marketing, resale, or any other purpose.
- The Seller shall implement reasonable technical and organisational measures to protect buyer data against unauthorised access, loss, or disclosure.
- Any breach of buyer data by the Seller must be reported to xHerbs within twenty-four (24) hours of discovery.
16. Limitation of Liability
- xHerbs provides the Platform on an “as is” and “as available” basis. xHerbs makes no warranty, express or implied, regarding the availability, reliability, or performance of the Platform.
- xHerbs is a marketplace platform and is not a party to the transaction between the Seller and the Buyer. xHerbs does not manufacture, store, inspect, or guarantee any product sold or service provided on the Platform.
- To the maximum extent permitted by Nigerian law, xHerbs shall not be liable for: (a) any indirect, incidental, special, consequential, or punitive damages; (b) loss of revenue, profits, or data; (c) product liability claims arising from products sold by the Seller; (d) claims arising from services provided by Healers; (e) actions or omissions of buyers; (f) interruptions or unavailability of the Platform; or (g) third-party payment processing failures.
- The Seller agrees to indemnify, defend, and hold harmless xHerbs, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) the Seller’s products or services; (b) the Seller’s breach of these Terms; (c) the Seller’s violation of any applicable law or regulation; or (d) any claim by a buyer or third party related to the Seller’s products, services, or conduct.
17. Dispute Resolution
- Any dispute arising out of or in connection with these Terms shall first be referred to mediation under the rules of the Lagos Multi-Door Courthouse or such other mediation body as the parties may agree.
- If mediation fails to resolve the dispute within thirty (30) days, either party may refer the dispute to arbitration under the Arbitration and Mediation Act 2023 of Nigeria.
- The seat of arbitration shall be Abuja, FCT, Nigeria. The language of arbitration shall be English.
- Nothing in this Section shall prevent either party from seeking urgent injunctive relief from a court of competent jurisdiction.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of the Federal Capital Territory, Abuja, shall have exclusive jurisdiction over any matter arising from or relating to these Terms, subject to the arbitration provisions in Section 17.
19. Amendments
- xHerbs reserves the right to amend these Terms at any time. Notice of amendments will be provided to Sellers via email and in-app notification at least thirty (30) days before the effective date of the amendment.
- Material amendments — including changes to commission rates, introduction of new fees, changes to payout terms, or modifications to indemnification obligations — require explicit opt-in consent from each Seller. Sellers will be prompted to review and accept material changes before they take effect. Sellers who do not consent will continue under the existing terms until they choose to accept or terminate their account.
- For non-material amendments (e.g. clarifications, formatting, policy updates that do not affect fees or obligations), continued use of the Platform after the effective date constitutes acceptance.
- If a Seller does not agree to any amendment, the Seller may terminate their account before the effective date of the amendment.
20. Miscellaneous
- Entire Agreement. These Terms, together with the xHerbs Privacy Policy, constitute the entire agreement between the Seller and xHerbs with respect to the subject matter hereof and supersede all prior agreements and understandings.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver. No failure or delay by xHerbs in exercising any right or remedy shall operate as a waiver of that right or remedy.
- Assignment. The Seller may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of xHerbs. xHerbs may assign these Terms to any affiliate or successor entity.
- Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay arises from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, or internet or telecommunications failures.
- Notices. All notices under these Terms shall be in writing and delivered by email to the addresses registered on the Platform, or by such other means as xHerbs may specify.
- Relationship of Parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the Seller and xHerbs. The Seller is an independent contractor.
